These Terms & Conditions ("Terms") govern your use of the Eiduk Tax & Wealth website, client portal, and platform, as well as your engagement of professional services from our firm. By using our website, engaging our services, or executing an engagement letter, you agree to these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using eiduktaxandwealth.com, app.eiduktaxandwealth.com, tools.eiduktaxandwealth.com, or any related services, or by engaging Eiduk Tax & Wealth ("we," "us," "our," or "the Firm") for professional services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services.

2. Services We Provide

Eiduk Tax & Wealth is a professional tax advisory and wealth management practice operated by John Eiduk, CPA, CFP®. We offer services under the following tiers and packages:

  • Essentials — foundational tax planning and advisory services
  • Pathway — comprehensive implementation of The Eiduk Pathway™, our proprietary 80-strategy framework
  • TAS-0 (Tax Advisory Services) — flat-fee tax return preparation packages
  • TAS-L (Legacy/Custom) — legacy clients or custom-structured monthly arrangements
  • CAS (Client Accounting Services) — CFO advisory, bookkeeping oversight, and accounting services
  • Wealth System — investment prioritization and wealth management advisory

We serve individuals, S-Corporations, partnerships, LLCs, sole proprietors, trusts, and other entities. Specific services, scope, and deliverables for your engagement are defined in your engagement letter.

3. Engagement Letter Primacy

Your signed engagement letter governs our professional services to you. These Terms apply to your use of our website and platform, and to the general business relationship, but where any conflict exists between these Terms and a signed engagement letter, the engagement letter controls for matters covered by that engagement.

Your engagement letter will specify the scope of services, fees, deliverables, timelines, and any special provisions. No professional services are provided without a signed engagement letter.

4. The Eiduk Commitment

For clients engaged under qualifying service tiers, we offer The Eiduk Commitment:

If our tax planning doesn't identify savings that recoup your first-year advisory fee, we continue working at no additional charge until it does.

The Eiduk Commitment applies only to clients in qualifying tiers (typically Pathway and TAS-L) and is subject to the terms of your engagement letter. Clients must provide timely and accurate information, participate in scheduled meetings, and implement recommended strategies within reasonable timeframes to qualify.

The Eiduk Commitment is not a guarantee of a specific dollar amount of tax savings or a refund. It is a commitment of continued work, not a refund or guarantee provision.

5. Fees and Payment

Fees are defined in your engagement letter and may include:

  • Flat monthly advisory fees
  • Flat-fee tax return preparation fees
  • Project-based fees for specialized strategies
  • AUM-based fees for investment advisory services (subject to separate investment advisory agreement)

Fees are billed in accordance with your engagement letter. Payment is processed through Stripe via our dynamic billing system. By providing payment information, you authorize us to charge your designated payment method in accordance with your engagement.

Fee deductibility. Professional fees paid to Eiduk Tax & Wealth for business-related tax and advisory services may be deductible as an ordinary and necessary business expense under IRC §162. Personal tax preparation fees are generally not deductible for federal purposes after the TCJA, though state treatment may vary. This is general information only — we will address the specific deductibility of your fees in your annual tax planning.

Late payments may be subject to interest and late fees as permitted by law and described in your engagement letter. Unpaid balances may result in suspension or termination of services.

6. Client Responsibilities

To enable us to provide quality service, you agree to:

  • Provide complete, accurate, and timely information as requested
  • Respond to document requests and communications within reasonable timeframes
  • Attend scheduled meetings or provide reasonable notice of rescheduling
  • Review all returns, reports, and advisory deliverables before signing, filing, or implementing
  • Maintain your own records of tax documents, returns, and communications
  • Notify us promptly of any material changes to your financial, business, or family circumstances
  • Pay fees in accordance with your engagement letter
  • Use our client portal for the secure exchange of sensitive documents

We are not responsible for errors or omissions resulting from incomplete, inaccurate, or untimely information provided by you.

7. Website and Platform Use

Our websites and platform are provided for use by clients, prospective clients, and visitors for lawful, non-commercial purposes. You agree not to:

  • Use our websites or platform in violation of any applicable law
  • Attempt to gain unauthorized access to any portion of the platform, other users' accounts, or our systems
  • Interfere with or disrupt the operation of the websites or platform
  • Scrape, harvest, or otherwise extract data from the websites or platform without authorization
  • Use the tools, calculators, or information on our websites to provide professional services to third parties
  • Reverse engineer, decompile, or attempt to extract source code from our platform
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to suspend or terminate access for any user who violates these Terms or engages in harmful activity.

8. Intellectual Property

All content, trademarks, logos, frameworks, methodologies, software, and materials on our websites and platform are the exclusive property of Eiduk Tax & Wealth or our licensors, including but not limited to:

  • The Eiduk Pathway™ — our proprietary 80-strategy tax advisory framework
  • The Eiduk Cash Allocation System™ — our cash management methodology
  • The Eiduk Wealth System™ — our investment prioritization framework
  • Our platform software, algorithms, templates, and user interface
  • Our branding, marketing materials, and published content

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any of our content or intellectual property without our express written permission. Client-specific deliverables (e.g., your tax returns, planning documents) are provided for your personal or business use and should not be redistributed.

9. Communications

By engaging our services or submitting information through our websites, you consent to receive communications from us, including:

  • Emails related to your services, appointments, and document requests
  • Phone calls for scheduled meetings, urgent matters, or tax-related inquiries
  • Client portal messages for secure communications
  • SMS text messages, if you have explicitly opted in (see Section 10)

You may opt out of marketing communications at any time. Certain service-related communications (such as tax deadline reminders, document requests, or regulatory notices) may be required to fulfill our professional obligations to you and cannot be opted out of without terminating the engagement.

10. SMS Text Messaging

Our firm operates a transactional SMS text messaging program for clients and prospective clients who have opted in. Participation is voluntary and separate from the core services described in these Terms. Message and data rates may apply. You may opt out at any time by replying STOP.

11. Disclaimers

11.1 No Guarantee of Outcomes

Tax planning and advisory services are inherently uncertain. Tax laws, regulations, and interpretations change, and the IRS or state tax authorities may take positions different from ours. We do not guarantee specific tax savings, refunds, or investment returns. Any projections, estimates, or savings illustrations provided in our tools, reports, or advisory work are estimates only based on the information provided and reasonable assumptions at the time.

11.2 Investment Advisory Services

Wealth management and investment advisory services, where applicable, are provided under a separate Investment Advisory Agreement and are subject to Form ADV disclosures. Nothing on our website or in our general communications constitutes investment, legal, or tax advice specific to your circumstances. Past performance does not guarantee future results.

11.3 "As-Is" Provision of Websites and Tools

Our websites, calculators, scorecards, and online tools are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We make reasonable efforts to ensure accuracy but do not guarantee that the websites, tools, or content are error-free or uninterrupted.

11.4 Third-Party Content and Links

Our websites may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of those third parties. Your use of third-party websites is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, and subject to the terms of your engagement letter:

  • Our total liability for any claim arising from or related to our services or these Terms will not exceed the total fees paid by you to Eiduk Tax & Wealth for the specific engagement giving rise to the claim in the twelve (12) months preceding the event giving rise to the claim.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, or lost data, even if we have been advised of the possibility of such damages.
  • We are not liable for losses caused by events outside our reasonable control, including force majeure, internet or utility outages, third-party service provider failures, or actions of government authorities.

Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be limited under applicable law, including certain rights under AICPA professional standards.

13. Termination

Either party may terminate an engagement in accordance with the terms of the applicable engagement letter. Upon termination:

  • You will pay all fees earned through the effective date of termination
  • We will return your original documents and provide copies of work product completed through the termination date, subject to payment of outstanding fees
  • We will retain copies of records as required by IRS, state, and professional recordkeeping rules
  • Our confidentiality obligations survive termination

We may suspend or terminate your access to our website or platform at any time for violations of these Terms or for any reason, with or without notice.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and any dispute arising from or related to them or our services are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Federal tax matters are additionally governed by the Internal Revenue Code and related federal law.

14.2 Informal Resolution

Before initiating any formal dispute, you agree to contact us at [email protected] to attempt good-faith resolution. Most concerns can be resolved promptly through direct communication.

14.3 Venue

Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Cook County, Illinois. You and Eiduk Tax & Wealth consent to the personal jurisdiction of those courts.

14.4 No Class Actions

To the extent permitted by law, you and Eiduk Tax & Wealth each agree that any dispute will be resolved on an individual basis, and not as part of any class, consolidated, or representative action.

14.5 Professional Liability Claims

Claims involving professional conduct may also be subject to the AICPA Code of Professional Conduct, the CFP Board Code of Ethics, and applicable state board of accountancy rules.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to active clients and via notice on our website at least 30 days before taking effect. The "Last Updated" date at the top reflects the most recent revision. Your continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.

Changes do not alter the terms of any executed engagement letter unless specifically agreed to in writing by both parties.
